What Is Technology Due Diligence?

Technology due diligence shows whether the technology behind a deal can deliver the business plan, and what it will cost to put right. Get that answer before price and commitments are fixed.

We test the claims against the systems, people and delivery evidence, then connect the findings to the deal.

What technology due diligence checks

  • Systems and code: assess architecture, integrations, software ownership and the work needed to support the growth plan.
  • Data and security: check access, backups, privacy obligations and the response to incidents.
  • People and delivery: review the team, key-person dependencies, suppliers, releases and the reliability of the delivery plan.
  • Cost and commitments: compare the technology budget, licences and remediation work with the investment case.

The review follows the deal. A software business needs a different emphasis from an operator with physical networks.

What a technology due diligence report gives you

The report separates issues that can change the transaction from work that can wait. It estimates the cost and effort to fix material problems, what to agree before completion and who owns the work afterwards.

When to commission technology due diligence

Buy-side: test the assumptions behind price, integration and growth before committing. Sell-side: review your technology before a raise or sale, so you can resolve gaps and answer buyer questions with evidence.

The scope, access and timetable are agreed for the transaction. Our technology due diligence service starts at an indicative £9,100 ex VAT, with the final fee agreed by scope.

Who should lead technology due diligence?

Use an independent reviewer who can challenge both the technical explanation and the business plan. We tell you what matters to the deal and what happens next.

Technology due diligence questions

What will I receive from a technology due diligence review?

A prioritised view of material risks, likely remediation cost and effort, and the decisions or conditions those findings create for the transaction.

Is technology due diligence the same as a security audit?

No. Security is one part of the review. Technology due diligence also examines systems, software ownership, delivery, people, suppliers and cost against the business plan.

When should a seller prepare for technology due diligence?

Before a buyer requests access. An early review gives the management team time to address gaps and prepare evidence for the claims in the investment case.
