How Long Does Technology Due Diligence Take?

Plan for around one to four weeks for technology due diligence, with more time for large or complex businesses. Agree the questions, evidence and decision deadline at the start so the review answers what the buyer needs to know.

Technology due diligence timelines by scope

Indicative technology due diligence duration
Target and scope Planning time
Small business with a simple platform About one week
Mid-market business with several systems and teams Two to four weeks
Large or complex business, including regulated data Four to eight weeks or more

These are planning ranges, not a fixed programme. We agree the scope and timetable against the transaction, then identify which findings need an early decision.

What changes the technology due diligence timeline

  • Evidence readiness. Current architecture, security, supplier, cost and delivery records let the review move quickly. Missing or conflicting records create follow-up work.
  • People and access. The reviewer needs time with the technical lead, product owner and relevant suppliers. Delayed interviews hold up findings.
  • Technical scope. More products, integrations, legacy systems or regulated data require more testing and explanation.
  • Decision deadline. A short deal timetable calls for a focused scope and early reporting of material risks, with any limits made clear.

How to keep technology due diligence on schedule

  1. Set the questions. The deal lead and reviewer agree what must be tested, who needs the findings and by when.
  2. Assign evidence owners. The seller names someone for each system, contract and record. Use our preparation guide to organise the data room.
  3. Clear blockers daily. Give the reviewer a route to missing documents and decision-makers. Escalate gaps that could affect price, terms or delivery.

A sell-side review can surface gaps before buyer diligence starts. We can scope and run the technology review, prioritise the findings and explain what each issue means for the transaction.

Questions about technology due diligence timing

Can technology due diligence fit a two-week deal timetable?

Yes, if the scope is focused and the right records and people are available promptly. Agree what the review will cover and when findings are needed.

When should the seller prepare the data room?

Before the review starts. Put current architecture, security, supplier, cost and delivery records in one place, with an owner for each area.

Does a shorter review mean less scrutiny?

It should not. A shorter timetable needs a focused scope and quick access to evidence. If important areas cannot be checked, record those limits in the findings.
